英文の法律文書には期限の表現がひんぱんに登場する。権利や義務の発生，消滅に関わることなので意味や用法を正確に理解しておきたい。表題のidiomは最近扱った英文に出ていたものだが，英語圏のサイト上でも質疑応答の対象になっているぐらいなので，実際の運用面でははっきりしない部分もある。
1．“no/not later than 10 days”
“no later than”と“not later than”の違い
一般英語ではnoとnotの品詞の違いから，意味は同じではないという意見もある。例えば，noは相当強い協調表現とも言われるが，実用文ではどちらも同じような意味で使用されている。
“no later than”
(1) I’ll be back no later than 6 o’clock.（遅くとも6時までには）
(2) We'll need to know your decision no later than next week. （遅くとも来週中に）
(3) Republicans say they are going to vote no later than January 6th or 7th.（1月6日または7日までには）
“not later than”
(1) Not later than December 31, 2013, a health plan shall file a statement with the Secretary’s office, certifying that the data and information systems for such plan comply with all standards. （遅くとも2013年12月31日までに）
(2) Not later than four months after entry of this Final Judgment, Microsoft shall submit to the Court and the Plaintiffs a proposed plan of divestiture.（この最終判決の登録後遅くとも4か月以内に）
(3) Not later than the 15th day of every month, Distributor shall provide Company with a three (3) month rolling forecast of orders showing Products requested.（毎月遅くとも15日までに）
以上の例でも明らかなように，“no later than”はどちらかと言えば日常的な文書に使われる表現で，これに対して“not later than”はもっぱらフォーマルな文書で使用される。法律，規則，契約書，論文などでは“not later than”が好まれるようだ。形式張った文章にはnotのほうが改まった感じが出て相応しいということかもしれない。
ただ，法律文でも“no later than”を使用した例もかなりある。例えば，
Payment of royalties shall be made to Licensor no later than the thirtieth (30th) day after the end of the period to which the payment relates.
このように，使用分野によって明瞭な線引きがあるわけではないので，正式文書でも“no later than”を使って問題はないようだ。
なお，以上のことは”no/not more than”でも同じことが言える。
2．“within 10 days of”（“within x number of days of a certain date”）
このidiomは次のように使用される。
(1) The other Party shall，within thirty (30) days of the service on it of a Conciliation Notice, give a written response to........（調停通知書の送達を受けてから30日以内に）
(2) within one business day of the time of notice thereof.（通知があったときから1営業日以内に）
(3) within ninety (90) days of the establishment of the Subsidiary.（子会社の設立から90日以内に）
“within 10 days of (a certain date)”は2つの意味に解釈できる。一つは「特定日の前の10日以内，つまりwithin 10 days before」，もう一つは「特定日の後の10日以内，つまりwithin 10 days after」。その理由はofにある。ofはもともとoffと同じ「離れる」が原義なので，beforeでもafterでもどちらにも解釈できる。どちらの意味で使われているかは前後の意味を調べ，常識的に判断することになるが，米国政府機関では通常，”of the date”を”after the date”の意味で使用するという。
実務の英文を書くときは曖昧にならないよう注意したい。基本的には“within 10 days of”が英語の発想とされているが，もし誤解が生じるようであればofに代えてbefore，after, prior to, followingといった前置詞を使用するのが間違いない。内容によっては“no (not) later than”を使って書き替えることもできるが，文体としては“within 10 days......”が好まれるようだ。
