普通の英文ではshallという助動詞を見かけることは滅多にないが，法律文だけは例外で，特に主節ではひんぱんに使用される。「義務」，「約束」，「宣言」，その他文脈に応じて解釈の仕方はいろいろだが，いずれも法的拘束力を持つという点で共通しており，shallはobligationというのが一般的な認識になっている。一方，副詞節でもときどき使用され，英文法に慣れているはずの翻訳者を面食らわせることがある。以下，用例を挙げる。
1．In the event that any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision hereof.(第一文での使用例)
(試訳: 「本契約のいずれかの規定が管轄裁判所により無効又は強制不能と判断された場合でも，その他の規定は無効とはならず，強制不能ともならない」)
2．If Company shall be unable to carry out any material obligation under this Agreement due to an Event of Force Majeure, this Agreement shall at Company’s election (i) remain in effect but Company’s obligations shall be suspended until the uncontrollable event terminates or (ii) be terminated upon 10 days’ notice to Customer, in which event Customer shall pay Company for all parts of the Work furnished to the date of termination. (第一文での使用例)

3．Any person who shall procure registration in the Patent and Trademark Office of a mark by a false or fraudulent declaration or representation, oral or in writing, or by any false means, shall be liable in a civil action by any person injured thereby for any damages sustained in consequence thereof.(第一文の関係詞節中の使用例)
(試訳: 「いかなる者(人)であれ，虚偽又は不正な申告又は表明(口頭，書面の別を問わない)により，あるいは不当な手段により，特許庁に商標登録をした場合には，その被害者の起こす民事訴訟において，損害賠償の責めを負うものとする」
上記の例は副詞節，あるいは制限用法の関係詞節だが，いずれも「条件」を示しているという点で共通している。こうした部分は，普通の英文なら現在形にするところだが，このようなshallの使い方をどのように理解すればよいだろうか。この辺の説明として，このブログでも紹介したCambridge International Legal Englishに次のような解説文があった。
“Shall” can also be used in legal texts to refer to a future action or state:
“..until two years shall have expired since such action by vote of such shareholders.
In everyday speech, this future meaning is commonly expressed using only the present perfect (…until two years have expired..)”
以上のような解説から，shallが未来形の意味で使われていることは明らかだ。until two years shall have expired以下は「時間枠」を示してはいるが，一種の条件設定であることに変わりはない。「英文法解説」(江川泰一郎著)では，一般英語として条件節にwillを使った例は紹介されているが，shallを使った例は見当たらない。法律分野では古い用法がそのまま残ったものと考えられるが，特に意味はなく，日訳の際は無視してよいし、英訳のときは一般英語と同じように現在形を使用するのが，我々non-nativeとして適切な選択だと思う。
