Nomura, the Japanese banking behemoth, has approached Collins Stewart about a takeover of the broking and corporate finance group chaired by Terry Smith.
日本の巨大銀行の野村が、テリー・スミス率いる仲介・法人金融グループ買収案を巡り、コリンズ・スチュアートに接近している。
The talks are understood to be at an early stage and no formal offer has been made by the Japanese. Collins Stewart, a FTSE250 constituent, is valued at £443m but any successful offer would probably need to value the business at more than £700m before receiving the blessing of the Collins Stewart board.
この協議は未だ初期段階で、野村からは正式なオファーは出ていないと理解されている。
FTSE250のコリンズ・スチュアートは、時価総額￡4.43億だが、同社の役員に承認され買収を成功するには、￡7億以上の値をつけなければならないだろう。
Contact between Nomura and Collins Stewart has been initiated through Hawkpoint, the boutique investment bank that Collins Stewart bought last year. The most recent meeting between Hawkpoint representatives and Nomura was last Tuesday.
野村とコリンズ・スチュアートの接触は、後者が昨年買収したブティック型投資銀行のホークポイントを通じて開始された。

The meeting was held at Nomura's offices in Regent's Park in London. Although directors at Hawkpoint have been at the centre of developments, Nomura is understood to have expressed an interest in acquiring the entire Collins Stewart business, rather than bidding for parts of it.

The company's shares jumped on Friday by 8.4 per cent to 180.5p on rumours that it had received an expression of interest from a Japanese buyer. Nomura is believed to be scouting the City of London for financial businesses to acquire after this year's credit crunch has left many with share prices languishing at historic lows. Since Collins Stewart demerged from its sister company, which formed Tullett Prebon, the inter-dealer broker, in December 2006, its shares have fallen sharply, being particularly badly hit by this summer's market turmoil. The shares hit a high of 270p at the start of this year.

A key factor in the outcome of any talks will be the attitude of Smith, who owns 3.64 per cent of Collins Stewart's shares. In recent years he has admitted opening his company's books to "sufficiently serious" bidders although no deal has ever materialised. Its most recent results, for the six months to June 30, revealed revenues of £129.8m, up 46 per cent, and pre-exceptional operating profit of £40.5m, an increase of 35 per cent.

Collins Stewart has attracted the attention of Nomura in part because of its growth plans overseas. It is thought to be looking at opening an office in Singapore to add to its presence in Mumbai and already employs 120 brokers in New York. It has grown its total headcount from 450 to 750 people.

Nomura has developed specialist investment banking businesses that could fit well with Collins Stewart. These include Nomura Code Securities, which is focused on the life sciences industry and provides advice, fundraising and broking services.

Collins Stewart has been a central player in bringing companies to the Aim market, although that business now accounts for about 25 per cent of its revenues. It has also developed a model for distributing shares in companies that are floating to investors in the UK, the US and the Far East, which is also thought to be of interest to Nomura.
