国内契約には「本契約の内容につき疑義または紛争が生じた場合には、当事者において誠意をもって協議し、円満なる解決を図るものとする」といった疑義解決条項を入れるのが通常である。契約書に書かれていないことでも、後で話合いによって円満に解決しようという趣旨だ。ところが、国際契約にこのような疑義解決条項に対応するものは見当たらない。
これに対して、英文契約には、次のような完全合意条項（Entire Agreement Clause）と呼ばれる条項が書かれている。
This Agreement constitutes the entire and only agreement between the parties hereto with respect to the subject matter hereof and supersedes and replaces any and all prior agreements or understandings, written or oral, expressed or implied, between the parties hereto.
（この契約は、本件に関する両当事者の合意の唯一すべてであって、本契約締結前における当事者間の書面または口頭、明示または黙示のすべての契約または了解にかかわるものである）
