私の仕事の６～７割は会社が締結する契約書を読む事です。 もちろん読むだけではなく、会社にとって不利・無理な条件等々はないかどうか考えながら読んでいます。 私が扱う契約書の大半は日本語ですが、ほんの１～２％程度、数でいうと年に十数件程度の英語で書かれた契約書も読んでいます。 ところで最近読んだ契約書の中に次のような文がありました。
if an SLA (Software License Agreement) is provided in the form of a "clickwrap" or other online agreement requiring an action by the End-User to document acceptance of the agreement, Company shall ensure that an authorized representative of the End-User undertake the required action to form a binding agreement;
この "clickwrap" なる言葉は初めて見るものでしたが、"shrinkwrap" あるいは "shrinkwrap agreement" の言葉にはなじみがあるので、"click-on" あるいは "click-on agreement" の意味であろうとは直ぐに推測は付きました。 念のために辞書で確認すると：
A clickwrap agreement (also known as a "clickthrough" agreement) or license stems from software "shrinkwrap" licenses where the end user agrees to the terms of use when they open the shrinkwrap. A clickwrap typically comes in the form of an "I Agree" or similarly worded button on a dialog box or pop-up web page.
とあり、"shrinkwrap agreement" が梱包の "shrinkwrap" を破って開封するとソフトウェアの使用許諾書の条件を承諾したと看做されるのと同様に "clickwrap" の場合には同意のボタンをクリックすることにより使用許諾書の条件を承諾したことにする契約だという事が分かります。 ボタンを押すだけなので "wrap" とは関係がないので "click-on" の方が適切に思えますが、どう言うわけか "clickwrap" なる言葉も一般的なようです。
Googleで調べて見ると： "clickwrap agreement"で４６３件、 "clickwrap" AND "agreement" なら23,600,000件で、それに対し "click-on agreement" で１８２件、 "click-on" AND "agreement" では20,400,000の検索結果となったので、結論としては "clickwrap" も "click-on" どちらも同じように使われていることが確認できました。
