英国企業のアニュアル・レポート、ますます分厚く（economiaより）

Annual reports not yet clear and concise

デロイトの調査によると、英国企業のアニュアル・レポートは、昨年、10ページ長くなり、平均132ページになったそうです。一方、71％の企業は、戦略、KPI、ビジネスモデル、報酬などの問題と財務諸表の結びつきを明らかにしていませんでした。

According to Deloitte research, annual reports have grown by 10 pages over the last year and are now on average 132 pages long. Yet nearly three quarters of companies (71%) are not revealing upfront how they link together issues such as company strategy, key performance indicators, the business model, remuneration and the financial statements.

この調査は上場企業100社を対象としたものです。そのうち４３％の企業は、英国のコーポレート・ガバナンス・コードを完全には遵守していませんでした。

The research, Annual Report Insights 2014: Providing a Clear Steer, looked at the annual reports of 100 listed companies and found that a surprising number of them – 43% – were not complying fully with the UK Corporate Governance Code.

取締役の独立性や監査委員会の構成が、準拠されていないことの多い分野ですが、取締役への女性登用（73％、昨年は69％）や監査委員会による報告の質に関しては、すこしずつ改善しているそうです。

The independence of directors and the composition of audit committees featured regularly among the areas of non-compliance, although Deloitte points out that companies are slowly making progress in bringing women on to the board (73% of companies compared to 69% last year) and the quality of audit committee reporting has “improved considerably”.

この記事を読む限りでは、コーポレート・ガバナンス・コードというのは、それがあるからといって、企業が一斉にそれに従うというものではなさそうです。
