米SEC、売上水増しでマリファナビジネスの会社に罰金（economiaより）

SEC charges marijuana business for overstating revenues

米SECが、マリファナ関連の事業を行っているMedboxという会社（現Notis Global社）が、売上を水増ししていたとして、１２百万ドルの罰金を課したという記事。

この会社のオーナーである人物は、New-Age Investment Consultingというペーパーカンパニーを使って、違法な株式販売を行っていましたが、その販売代金を、Medboxの売上として計上していたそうです。

Medbox, a marijuana consulting company which is now called Notis Global, claimed to be a leader in the marijuana industry and overstated its revenue numbers to investors.

The Securities and Exchange Commission (SEC) found that some of its earnings came from sham transactions with a secret affiliate.

According to the SEC, Medbox’s owner created a shell company called New-Age Investment Consulting to carry out illegal stock sales. It then used the proceeds from those sales to boost Medbox’s revenue

2014年第1四半期の売上の９０％が、New-Age社との取引によるものでした。

Medbox published press releases stating false revenues as record earnings to legitimise itself as a viable commercial operation, when 90% of the company’s revenue in the first quarter of 2014 stemmed from sham transactions with New-Age, the regulator added.

マリファナ関連ビジネスはともかく、株売却代金や増資資金が、回り回って、売上に化けるというのは、日本でもありそうな手口です（具体的な会社名は思い出せませんが）。

会計・監査的には、このペーパーカンパニーとの売上取引は、関連当事者取引ということになりますが、a secret affiliateということで、関連当事者であることを隠していたのでしょうから、監査人などが見つけるのは簡単ではなさそうです。
