Ousted Olympus President Cites Clash Over Deals

解任されたオリンパス前社長へのインタビュー記事。解任直前に、「深刻なガバナンス上の懸念事項」があるとして、会長に辞任を求めたのだそうです。

The ousted British president of Olympus Corp. said that shortly before he was fired he urged the Japanese company's chairman to resign over "serious governance concerns."

土曜日に行われたテレビ電話でのインタビューの中で、Woodford氏は、オリンパスがアドバイザーに対して行った多額の支払いに関する疑念について、菊川会長と森副社長に対し、最近3週間にわたって書面で何度も問い合わせたと述べた。この支払は、2008年の英国の医療機器会社Gyrusの買収に関連するものである。

In a video-phone interview with The Wall Street Journal on Saturday, Mr. Woodford said that over the past three weeks he repeatedly communicated in writing his concerns to Chairman Tsuyoshi Kikukawa as well as Executive Vice President Hisashi Mori about large payments Olympus made to a deal adviser, whose identity Mr. Woodford says is unknown. The payments related to the company's 2008 acquisition of U.K. medical-equipment company Gyrus.

退任公表後直ちに自宅のあるロンドンに戻ったWoodford氏は「これらの質問に対する明確な回答は得られなかった」と述べた。Woodford氏の質問は、（氏によればひどく過大な価格をつけて行った）数年前の3つの小さな日本の会社の買収にも関連している。

"I didn't get any clear answers to those questions," Mr. Woodford said from his home in London, where he flew immediately after his termination was made public. His questions also related to what he described as grossly overpriced acquisitions of three small companies in Japan several years ago.

ということで、前社長の言い分によると、解任理由は、会社発表とは全く別のものだったことになります。

2009年の監査人交代のことにもふれています。

オリンパスの監査人であったＫＰＭＧは、Gyrusを巡る取引に問題があることを内部で認識していた。2009年3月の日付の内部報告書において、ＫＰＭＧは、「我々の意見では、適切な会計記録が保持されていない」と述べている。

Olympus’ own auditors had privately identified problems with the Gyrus transaction, the documents show. KPMG, Olympus’ auditor until 2009, said in an internal report dated March that year: “In our opinion proper accounting records have not been maintained.”

オリンパスは、その2カ月後、契約期間満了時に、ＫＰＭＧを監査人から解任した。

Olympus replaced KPMG as its auditor when its contract ended two months later. KMPG declined to comment.

後任監査人は、このあたりの事情をきちんと把握していたのでしょうか。
